A confidentiality agreement is a contract that ensures that information and documents indicated as confidential, within the scope of the project or business subject carried out between the parties, are not shared with third parties without the consent of the person concerned. This agreement determines the limits and conditions of confidentiality.

With this agreement, the parties are protected against the theft of projects and ideas, and against unfinished projects being learned and commented on by third parties.

How Is This Document Used?

A confidentiality agreement gives the parties the right of control over the information and projects shared. In this scope, the agreement regulates the following:

  • Protection of trade secrets,
  • The purpose of the exchange of information,
  • How long the information will be kept confidential,
  • Not sharing it with third parties outside the permitted scope,
  • Return or destruction of the information upon request.

The party that breaches the agreement is held liable for compensation. The penalty clause is an integral part of the confidentiality agreement and should be deterrent. This amount should be set higher than the possible income the breaching party could obtain.

After the agreement is completed, a written copy should be made, signed by both parties, and each party should hold a copy.

Legal Basis

There is no specific provision of law in Turkish law that directly regulates the Confidentiality Agreement. However, the general provisions of the Turkish Code of Obligations, the Labor Law and the Turkish Commercial Code may be applied to these agreements.
